I wanted to post this a separate thread in this sub, but the bot didn't like it. So I'll post here:
**What happens to separate Bank stock when parent holding banco merges? / Confusion about merger / acquisition **
I just learned that the parent bank holding company a bank stock I own is about to be acquired / merged with another bank holding company, but I am a little confused as to what I should do.
I currently own 40 shares of [EGBN (Eagle Bank)](https://finance.yahoo.com/quote/EGBN) stock.
[LCNB](https://finance.yahoo.com/quote/LCNB) is acquiring the Eagle Bank parent [Eagle Financial Bancorp - EFBI.](https://finance.yahoo.com/quote/EFBI)
As I type, LCNB currently trades for about $15.50/share and EFBI trades for about $17.80 per share. EGBN itself is at about $22.30 per share.
The [terms of the merger](https://finance.yahoo.com/news/lcnb-corp-agrees-acquire-eagle-134500038.html) call for:
>EFBI shareholders will have the opportunity to elect to receive either 1.1401 shares of LCNB stock or $19.10 per share in cash for each share of EFBI common stock owned, subject to at least 60%, but not more than 70% of the shares of EFBI being exchanged for LCNB common stock.
So we have three entities - LCNB, EFBI, and EGBN. Exactly what happens to EGBN is not mentioned, but Fidelity seems to think that I need to make an election (or let whatever the default is occur); the Fidelity alert makes it sound like the EGBN shares themselves are subject to the merger terms even though EGBN is not technically the same as EFBI.
* What happens to EGBN? Does EGBN remain in existence as a separate equity entity but now owned by LCNB as the parent bancorp? Or do all EGBN shares become LNCB shares?
* Am I going to get either $19.10 for each EGBN share (if I elect that) or 1.1401 shares of the new LCNB (if I elect that) or what?
* Should I sell my EGBN stock immediately while it is still above $22/share?
I have until April 02 to decide.
* If EGBN were to lose value from this deal - sink to $19.10 - shouldn't that have long-since been priced-in at this point?
