# Investors Slam SEC Plan to Remove Best-Price Rule

Trump administration regulators are trying to ax a longstanding rule meant to ensure that investors get the best price when trading stocks. 
Investors aren’t happy about it.
Hundreds of public comments poured in to the Securities and Exchange Commission in the run-up to a Monday deadline**,** filed by individual investors as well as Wall Street trade groups warning that the plan would harm the U.S. stock market.
At the heart of the fight is the “trade-through rule.” The rule forbids trading platforms from executing investors’ orders at prices worse than the best available price quoted on stock exchanges. For example, if [General Motors](https://archive.is/o/Nl02X/https://www.wsj.com/market-data/quotes/GM) shares can be bought on one exchange for $80, and for $79.99 on another exchange, the rule means that orders to buy GM stock should get sent to the venue displaying the cheaper price.
The SEC proposed [eliminating the trade-through rule](https://archive.is/o/Nl02X/https://www.wsj.com/finance/regulation/sec-seeks-to-scrap-best-price-rule-c05b4d83) in June. Atkins, who voted against the trade-through rule as an SEC commissioner in 2005, has argued that the rule caused a range of unintended consequences. These include a proliferation of tiny exchanges: There are now 18 stock exchanges, most of which handle less than 1% of total U.S. trading volume, up from eight in 2005, SEC data shows. 
Brokerages and trading firms have complained that they must pay for pricing data from all of those exchanges, even small ones, to comply with the rule. [Robinhood Markets](https://archive.is/o/Nl02X/https://www.wsj.com/market-data/quotes/HOOD), the popular retail brokerage, told the SEC in a comment Monday that it backed scrapping the rule, saying “its costs in forced connectivity, exchange proliferation, and complexity now outweigh its benefits.”
But the SEC’s plan received pushback from pension funds and other asset managers, as well as electronic trading giant Citadel Securities and small investors.
“The proposal contemplates one of the most sweeping changes to U.S. equity market structure in decades without adequately demonstrating that its benefits outweigh the risks,” the Alternative Investment Management Association, a hedge-fund trade group, told the SEC in a comment filed Monday.
AIMA, whose members manage more than $4.5 trillion in assets, said that eliminating the rule could shift trading activity from public stock exchanges toward [less-transparent platforms](https://archive.is/o/Nl02X/https://www.wsj.com/articles/dark-pools-draw-more-trading-amid-low-volatility-11556886916).
Other comments came from people who described themselves as ordinary investors upset that they would lose a key safeguard. 
“This proposal sends a clear message that the SEC is actually AGAINST investors,” said one person, who identified himself as Emmanuel Wesley, a “concerned & appalled investor,” in a comment filed last week. 
Wesley couldn’t be reached for comment. His comment was among more than 900 submissions that appeared to follow a chain-letter format promoted by [We the Investors](https://archive.is/o/Nl02X/https://www.wsj.com/finance/regulation/he-was-a-quant-at-citadel-now-he-agitates-for-gamestop-investors-d951cc75), an advocacy group for retail investors formed after the 2021 [GameStop](https://archive.is/o/Nl02X/https://www.wsj.com/market-data/quotes/GME) frenzy.
The SEC faced similar backlash earlier this summer over a Trump-backed proposal to let public companies report their financials twice a year, instead of quarterly. The agency is [expected to proceed with the plan](https://archive.is/o/Nl02X/https://www.wsj.com/finance/regulation/sec-quarterly-earnings-reports-complaints-2979d5a0) despite receiving tens of thousands of comment letters opposing it, The Wall Street Journal reported in July. 
Some of the strongest support to end the trade-through rule came from cryptocurrency firms and lobbying groups. They say it would help pave the way for [tokenized stocks](https://archive.is/o/Nl02X/https://www.wsj.com/finance/stocks/tokenized-stocks-are-coming-to-a-market-near-you-five-things-to-know-d9131494)—securities that trade on a foundation of blockchain technology, like bitcoin and other digital tokens. 
Crypto firms argue that tokenization would bring a number of advantages over the current structure of the U.S. stock market, including 24/7 trading and instantaneous settlement of trades. They say the trade-through rule is incompatible with the decentralized model of digital-currency markets. 
The trade-through rule and other SEC regulations “are hindering the development, integration, and adoption of on-chain finance with respect to tokenized…securities,” the Solana Policy Institute, a blockchain lobbying group, said in its comment letter last week.
