Each Unit consists of one common share (a "Share") priced at CA$0.10 (US$0.07) per share, and one full share purchase warrant (a "Warrant"). The Company intends to use the net proceeds of the Private Placement for sales efforts of its upcoming SekurOne solution and U.S. Government sector sales, as well as general business development and general working purposes.
Shares issued pursuant to the Financing will be subject to a four-month hold period according to applicable securities laws of Canada.
