Appreciate the thoughtful response. I agree with a lot of what you wrote.
The financing risk is real. That’s why the market cap is where it is. Where I differ is on how I think the financing ultimately will come together.
I don’t think funding primarily through equity is the default case. Management has consistently talked about project financing, and I think the recent Orion restructuring supports that direction. To me, it looks like they’re trying to position the project for a financing package involving development banks, strategic investors and offtake partners rather than relying on common equity alone.
I agree dilution is definitely a possibility. I just don’t think a massive equity raise is the most likely outcome given the stage of the project and the institutions already involved. The announcement today I’d say moderately confirms that: It specifically said the restructuring was intended to “strengthen the financial position” and “simplify the capital structure ahead of project development.” To me, that says management believes the new structure is preferable as they move toward the next phase. It doesn’t tell me exactly why, but one plausible reason is that it facilitates assembling the broader financing package.
Also, companies don’t generally spend years working with the EIB if the plan is simply to issue common shares. The EIB finances infrastructure and strategic industrial projects. That implies management has been pursuing institutional debt.
On the IRR, 13.8% isn’t spectacular—I agree. But I also don’t think the market is valuing EMN based on project economics today. I think it’s valuing the probability that financing never happens (admittedly, probably because of how long the project has been sitting on the shelf). If financing is secured, I suspect the market starts valuing the company very differently, even if the IRR doesn’t change. With the recent permitting accomplishments and geopolitical necessities, though, I think we are going to see things accelerate from here.

Ok I'll bite. Anytime someone wants their thesis challenged, I am intrigued. Too many investors out there trying to suppress reality so as to not affect their precious P&D that they are holding in their bag. See: SCD.v and CH.v investors.
Here is what I am seeing:
0 employees, no production yet, and burns $8M /y ear. Cash $9.5M. 1 year of cash means dilution is coming. At a $5M cap, a construction package worth hundreds of millions gets funded largely by issuing stock. That, plus a thin 13.8% IRR, is exactly why it trades where it does.
July 10, 2026, EMN converted US$23.5M of Orion debt into a royalty, explicitly to "simplify the capital structure ahead of project development."
Chvaletice is described as "Europe's only near-term source of high-purity manganese," and the Czech government separately labeled it a Strategic Deposit.
On a pure asset basis it looks way undervalued. Market cap is 1.1% of the project's own post-tax NPV . But there is a reason: the PEA shows only a 13.8% IRR and a 7.3-year payback. The economics are tight and leave little room for cost overruns or weak manganese prices. Market is pricing in some big risk.
Management team (which most seem to overlook but I always place the upmost importance on) looks fine. not great. Mostly business women.
For me, I will watch it, but I am not in a hurry to jump in.
