What’s The News
Maharashtra Seamless has approved a composite scheme of arrangement under which two business undertakings will be demerged into its wholly owned subsidiaries, MSL Seamless Tubes Ltd and United Seamless Ltd.
The first undertaking would be moved to MSTL, while the second would be moved to USL. This restructuring would help in making the businesses more streamlined in order to enable each undertaking to grow using its own strategy.
Significantly, the demerger would take place without involving any cash. This means that the stakeholders of Maharashtra Seamless would get shares of both resulting companies according to their current holdings.
Maharashtra Seamless Demerger: Key Details
In the mentioned above demerger scheme, the company to be demerged will be Maharashtra Seamless Limited. Businesses to be identified will be demerged into two companies, namely MSTL (MSL Seamless Tubes Ltd) and USL (United Seamless Ltd). The appointed date of the scheme will be October 1, 2026. With respect to the share entitlement ratio as mentioned above, the existing shareholders of Maharashtra Seamless will get one equity share of MSTL for every five equity shares of Maharashtra Seamless.
Besides, the shareholders will get one equity share of USL for every five equity shares of Maharashtra Seamless. It is important to note that no consideration in cash will be provided for the above-mentioned scheme of shareholders. The equity shares of MSTL and USL are intended to be listed on the BSE and NSE.
The above-mentioned scheme has not been approved by regulatory authorities.
What Businesses Will Move to MSTL
The first demerged undertaking will be transferred to MSL Seamless Tubes Ltd. This undertaking includes Maharashtra Seamless’ seamless pipe manufacturing facility at Mangaon, Maharashtra, with a capacity of around 125,000 tonnes per annum, along with a 10 MW captive solar power plant at Beed, Maharashtra.
The undertaking recorded an operational turnover of approximately Rs. 793 crore in FY26, representing around 16.98% of Maharashtra Seamless’ total turnover.
What Businesses Will Move to USL
The second venture will be moved to United Seamless Ltd. It consists of the seamless pipe manufacturing plant located at Narketpally, Telangana, which has a capacity of about 200,000 tonnes per year, solar power projects located in Rajasthan having an installed capacity of 25 MW, and Jindal Explorer Rig operations. The second venture earned a turnover of about Rs. 693 crore in FY26, which contributed 14.84% of the total turnover of Maharashtra Seamless.
What Will Happen to Existing Maharashtra Seamless Shareholders
The demerger has been done in such a way that current shareholders of Maharashtra Seamless will get shares from both the two resulting companies. One equity share each of MSL Seamless Tubes Ltd and United Seamless Ltd for every five equity shares of Maharashtra Seamless held.
An investor having 500 shares of Maharashtra Seamless will thus get 100 shares of MSL Seamless Tubes Ltd and 100 shares of United Seamless Ltd provided that the scheme becomes effective and the record date criteria met.
The deal is done in such a way that it will be a share-for-share exchange rather than cash payout. As per the company, the objective behind the proposed restructuring is to ensure that the shareholders’ economic benefit continues in the resulting companies.
Why Is Maharashtra Seamless Undertaking the Demerger
The proposed restructuring is aimed at creating more focused business operations by separating different manufacturing and business activities into dedicated entities.
According to the company’s scheme, the demerger is expected to facilitate focused management, technology-specific operational strategies, more efficient capital allocation and improved transparency. Separating the businesses could also allow each entity to pursue its own growth and investment priorities.
The restructuring will leave the remaining business within Maharashtra Seamless, while the two identified undertakings will operate through MSTL and USL.
Listing of MSTL and USL
Following completion of the demerger and the necessary approvals, the equity shares of the two resulting companies are proposed to be listed on the BSE and NSE.
The listing of the resulting entities could give investors greater visibility into the individual businesses and their respective financial and operating performance. However, the actual listing process will depend on completion of the scheme and the applicable regulatory requirements.
What Does the Demerger Mean for Investors
The important aspect for the existing shareholders from the restructuring process is that their shares will be held in three separate listed companies – Maharashtra Seamless, MSTL and USL – assuming the scheme comes into effect and the proposed listing takes place.
The demerger process can increase transparency about the individual business and enable the assessment of performance and valuations of individual companies. The demerger can help the management concentrate its efforts and allocate capital to each individual company.
The shareholders should not think that holding additional shares would create any additional value. The overall economic value depends on the future performance and valuation of Maharashtra Seamless, MSTL and USL after the restructuring process.
Conclusion
Maharashtra Seamless’ proposed demerger represents a significant restructuring of its business, with two identified undertakings being separated into MSL Seamless Tubes Ltd and United Seamless Ltd. The share entitlement of 1 MSTL share and 1 USL share for every 5 Maharashtra Seamless shares held gives existing shareholders direct ownership in both resulting businesses.
The company expects the restructuring to create more focused operations, improve capital allocation and provide greater transparency across its different businesses. However, the scheme is still subject to the required NCLT, shareholder, creditor and other regulatory approvals, and investors should track further exchange in filing for the next step.
