IRB InvIT Fund raises ₹2,351 Crore via institutional placement to acquire 2 BOT highway assets

Building a highway is only half the story. The other half is deciding who owns it once it is built and traffic starts flowing. Investment trusts, or InvITs, let developers pass operating roads to long-term investors who want steady toll income. The developer gets its money back and can start the next project.
Shares of IRB Infrastructure Developers Ltd . were trading at Rs. 16.80, down 1.98 percent from previous close of Rs. 17.14. The stock opened at Rs. 17.12, reaching an intraday high of Rs. 17.12 and low of Rs. 16.75. The company currently has a market capitalization of Rs. 20,303 crores.
What's the News?
The listed InvIT promoted by IRB Infrastructure Developers, IRB InvIT Fund, has successfully closed a fund raise of Rs 2,351 crore. Of this, Rs 2,000 crore was raised through an institutional placement and Rs 351 crore through a preferential allotment. The issue was opened on September 24 and closed on September 28 The allotment was approved on September 29 31.75 crore units were issued at Rs 63 each, at a 1.96 per cent discount to the floor price Anahera Investment was the largest allottee taking 17.5% of the issue.
The money will partly fund the purchase of two BOT highway assets from the group's private InvIT: Solapur Yedeshi on NH211 in Maharashtra and Chittorgarh Gulabpura on NH79 in Rajasthan. Once the deal closes, the private InvIT expects about Rs 2,744 crore in equity consideration, which it can put into new highway projects. The public InvIT's portfolio will grow to 11 operating highway assets covering 5,314 lane km, with an enterprise value above Rs 20,000 crore and a weighted average concession life of about 17 years. IRB Infrastructure Developers also put in the Rs 351 crore preferential portion to hold on to its roughly 16% stake.
Financial & Business Analysis
Looking at the quarterly results of IRB Infrastructure Developers Ltd., the company’s consolidated revenue increased by 1.83 percent YoY, from Rs. 2,098.96 crore in Q1 FY26 to Rs. 2,137.27 crore in Q1 FY27, and increased by 10.91 percent QoQ from Rs. 1,927.00 crore in Q4 FY26.
In Q1 FY27 IRB Infrastructure Developers Ltd.’s consolidated net profit increased by 51.26 percent YoY, reaching Rs. 306.27 crore compared to Rs. 202.48 crore during the same period last year. As compared to Q4 FY26, the net profit has increased by 3.38 percent, from Rs. 296.25 crore. The basic earnings per share stood at Rs. 0.25 as against Rs. 0.17 recorded in the same quarter in the previous year, FY2026.
IRB earns from three places. There is the construction business, where it builds roads for others and for its own trusts. There are the toll and O&M assets it operates, and there is the growing income from its InvIT holdings. Management has said it expects the mix to move towards an even split between construction and O&M/InvIT within the next two to three years, and this raise fits that direction. Every asset moved into an InvIT turns into steady, recurring income instead of one-time project revenue.
The order book tells the same tale. The total order book is about Rs 44,000 crore, of which Rs 17,000 crore is EPC work, so the larger share is long duration O&M. The company did not book any new orders in the first quarter due to lack of award activity and the management expects inflows to pick up only in the second half of the year. Asset sales free up cash in a slow award cycle, giving IRB the cash to bid for new toll-operate-transfer projects as they open. That cash is the engine that keeps the growth going.
Industry Context
India's road sector is now a toll-heavy, asset-recycling business. IRB alone runs 27 revenue-generating highway assets worth about Rs 94,000 crore across 13 states, with roughly 1.5 million vehicle crossings every day. That adds up to nearly a tenth of the country's toll revenue. Group-wide toll collections grew 26% in the June 2026 quarter, and about 97% of vehicles pay through FASTag, which keeps collections predictable.
The pipeline ahead is large too. Management expects roughly Rs 40,000 to 50,000 crore of TOT projects to be awarded every year, and toll rates are linked to inflation through a formula of 3% plus 40% of the Wholesale Price Index. The group aims to expand its asset base to about Rs 1,40,000 crore by FY2029. Investors wanting stable, inflation-linked cash flows keep coming to this sector, which is why raises like this one get filled.
