(the Company) (Nasdaq: FCFS) today announced that it has commenced an offering through a private placement, subject to market and other conditions, of $400,000,000 in aggregate principal amount of senior notes due 2028 (the Notes). The Notes will be unsecured senior obligations of the Company.

FORT WORTH, Texas , Aug. 11, 2020 (GLOBE NEWSWIRE) -- FirstCash, Inc. (the Company) (Nasdaq: FCFS) today announced that it has commenced an offering through a private placement, subject to market and other conditions, of $400,000,000 in aggregate principal amount of senior notes due 2028 (the Notes). The Notes will be unsecured senior obligations of the Company.

The Company intends to use the proceeds from the offering to redeemall of the $300 million aggregate principal amount of the Companys outstanding 5.375% senior notes due 2024 and to repay a portion of the Companys revolving unsecured credit facility with the remaining proceeds, after payment of fees and expenses related to the redemption and offering.

The Notes are being offered in a private placement, solely to persons reasonably believed to be qualified institutional buyers in reliance on the exemption from registration provided by Rule144A under the Securities Act of 1933, as amended (the Securities Act), or outside the United States to persons other than U.S. persons in reliance on Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
