SALINAS, Calif., Dec. 03, 2021 (GLOBE NEWSWIRE) -- 1st Capital Bancorp (the Company), (OTCQX: FISB), the $1 billion asset bank holding company and parent company of 1st Capital Bank (the Bank), announced today that its Board of Directors has adopted a Stock Repurchase Program, and authorized common stock repurchases of up to $5 million.

Share repurchases may be conducted through open-market transactions or privately negotiated transactions. The timing and amount of share repurchases will be subject to managements discretion and various factors including the Companys capital position, alternative uses of capital, financial performance, general market and economic conditions, and applicable legal requirements.

As part of the Stock Repurchase Program, the Company entered into a trading plan adopted in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended. The 10b5-1 trading plan permits common stock to be repurchased at a time that the Company might otherwise be precluded from doing so under insider trading laws or self-imposed trading restrictions. The 10b5-1 trading plan is administered by an independent broker and is subject to price, market volume, and timing restrictions.

The Stock Repurchase Program, which will expire on December 31, 2022, may be suspended, terminated, or modified at any time without notice.
