("DatChat" or the "Company"), a communications software company that gives users the ability to communicate with privacy and protection, today announced the closing of its previously announced initial public offering of 2,891,567 units consisting of common stock (the Common Stock) and series A warrants (the Warrants) to purchase up to 2,891,567 shares of Common Stock at a public offering price of $4.15 per unit, for aggregate gross proceeds of approximately $12.0 million, prior to deducting underwriting discounts, commissions, and other offering expenses.

The Companys Common Stock and warrants began trading on the Nasdaq Capital Market on August 13, 2021, under the symbols DATS and DATSW, respectively.

EF Hutton, division of Benchmark Investments, LLC, acted as lead book-running manager for the offering. US Tiger Securities, Inc. acted as joint book-running manager. Sheppard, Mullin, Richter & Hampton acted as counsel to the Company and Jolie Kahn, Esq. acted as counsel to the Underwriter in connection with the offering.
