goeasy Ltd. Closes US$320 Million Offering of Senior Unsecured Notes

GlobeNewswire Inc | Apr 29, 2021 10:46AM EDT

April 29, 2021

MISSISSAUGA, Ontario, April 29, 2021 (GLOBE NEWSWIRE) -- goeasy Ltd. (TSX: GSY) (goeasy or the Company), a leading full-service provider of goods and alternative financial services, is pleased to announce that it closed its previously announced offering of US$320 million 4.375% senior unsecured notes maturing on May 1, 2026 (the Notes). Concurrently with the closing of the offering, goeasy entered into a cross currency swap agreement (the Currency Swap) to fix the foreign currency exchange rate for the proceeds from the offering and for all required payments of principal and interest under the Notes, effectively hedging the obligation at C$400 million with a Canadian dollar interest rate of 4.818% . The gross proceeds from the sale of the Notes will be deposited in an escrow account in the manner disclosed previously, pending the closing of the Companys previously announced acquisition (the Acquisition) of LendCare Holdings Inc. (LendCare), subject to the special mandatory redemption provisions of the Notes disclosed previously.

We are pleased to have completed the issuance of our unsecured notes as part of the financing plan to support our recently announced acquisition of LendCare, said Jason Mullins, goeasys President & Chief Executive Officer, The total demand, which was in excess of two times the size of our initial offering, is a testament to the strength of our business model and the confidence in the Company to execute this strategic investment, added Mr. Mullins. The 5-year 4.375% notes also marked an improvement in our cost of funding, with the coupon rate reducing by a full one percentage point from the last notes offering completed less than 18 months ago. Furthermore, this capital raise contributes to realizing a portion of our previously stated synergies related to the transaction.
