NHC Foods' Overseas Arm Eyes 75% of Singapore's DNR Ventures in $5.5 Million Deal
The food trading and manufacturing company is looking beyond its home market again. Through a step-down subsidiary, it has signed a non-binding letter covering a majority stake in a Singapore-based business, with the price stated in US dollars. The group's latest quarter showed a sharp jump in sales and profit, mostly from overseas trading. Several conditions still stand between this proposal and a signed deal, and the details are worth reading closely before anyone draws firm conclusions.
Shares of NHC Foods Ltd are trading at Rs. 1.71, down 3.93 percent on Monday. The stock touched the intraday high of Rs. 1.82 after opening at Rs. 1.80 before slipping to a low of Rs. 1.70. The company commands a market capitalization of Rs. 161.39 crore.
Singapore Acquisition Is Still Only a Plan
NHC Foods Limited has informed BSE on October 4, 2026 that its foreign step-down subsidiary, Conquer Enterprises Limited has entered into a non-binding letter of intent. The letter is in relation to the acquisition of a 75 per cent equity interest in a Singapore company, DNR Ventures Pte Ltd, for USD 5.5 million. Nothing is set in stone, yet. As the letter is non-binding, neither side has to proceed with it. The company said the deal is subject to satisfactory due diligence, agreed definitive documents, corporate approvals and any regulatory or third party consents. The intimation was filed under Regulation 30 of the SEBI Listing Regulations and gave no closing date.
What the Deal Could Mean for NHC Foods
The overseas business is already where NHC Foods earns most of its money, so the target fits the group's direction. International trading brought in Rs 248.63 crore in the June quarter, about two-thirds of the Rs 370.13 crore in total segment revenue, and earned a segment profit of Rs 13.21 crore. A Singapore holding would add to that base. USD 5.5 million is small next to consolidated assets of Rs 595.87 crore at June 30, 2026, although the filing does not say how the company plans to pay for it.
There is still very little to go on. NHC Foods has not shared DNR Ventures' revenue, profit or line of business, which makes it hard to judge whether the price is fair. Group liabilities stood at Rs 358.51 crore at the end of June, and finance cost for the quarter was Rs 2.55 crore. Paid-up equity capital also rose to Rs 76.19 crore after 10,41,77,040 shares were allotted on June 24 on conversion of FCCBs. Until due diligence is done and definitive agreements are signed, the effect on earnings and the balance sheet cannot be measured.
Financial Performance
Looking at the quarterly results of NHC Foods Limited, the company's consolidated revenue from operations increased by 234.5 percent YoY, from Rs. 110.51 crore in Q1 FY26 to Rs. 369.69 crore in Q1 FY27, and grew by 43.1 percent QoQ from Rs. 258.40 crore in Q4 FY26.
NHC Foods Limited generated 31.6 percent of its revenue from domestic trading, 67.2 percent from international trading and 1.2 percent from manufacturing in Q1 FY27. Unallocated income made up the remaining 0.1 percent.
In Q1 FY27, NHC Foods Limited's consolidated net profit increased by 920.3 percent YoY, reaching Rs. 17.00 crore compared to Rs. 1.67 crore during the same period last year. As compared to Q4 FY26, the net profit has increased by 155.4 percent, from Rs. 6.66 crore.
The basic earnings per share increased by about 767 percent and stood at Rs. 0.26 as against Rs. 0.03 recorded in the same quarter in the previous year, FY2026.
Why Cross-Border Food Traders Want Local Bases
The international trade of food takes place in a volatile environment. Exchange rates fluctuate, freight rates skyrocket, import restrictions can be altered and tensions between countries can shut a shipping lane in a heartbeat. In response, many Indian exporters have opened up shop near their buyers rather than shipping everything from home. Singapore is a natural choice. It has long been one of Asia's main hubs for trade, shipping and finance, and a business based there can serve several markets from one place. NHC Foods already earns most of its revenue outside India, so a move like this follows the pattern. How well it works will depend on steady global trade and on how carefully the group handles currency and funding risk.
