(“REEcycle”) jointly announced the filing of the registration statement on Form S-4 with the U.S. Securities and Exchange Commission (the “SEC”) on October 1, 2026, in connection with the previously announced proposed business combination (the “Business Combination”). The registration statement includes a preliminary proxy statement/prospectus. It has not yet been declared effective by the SEC.
