Titagarh Rail and BHEL ₹24,000 Crore Mega Rail Deal: Here's Everything Investors Should Know
The shares of a Small-cap company specializing in the design, development, and manufacturing of advanced automotive components and systems for Tier-1 Original Equipment Manufacturers (OEMs) are in focus after it signed a contract for the long-term maintenance of Vande Bharat sleeper trainsets.
With a market capitalisation of Rs. 10,795.45 crore in the day’s trade, the shares of Titagarh Rail Systems Ltd jumped up to 2.26 percent, making a high of Rs. 829.90, compared to the previous close of Rs. 811.55.
What Happened
Titagarh Rail Systems Ltd (TRSL) and Bharat Heavy Electricals Ltd (BHEL) have entered into a contract for the maintenance of Vande Bharat sleeper train sets in the long run. This contract forms a part of the Rs. 24,000 crore contract between the Indian Railways and the TRSL-BHEL consortium for the supply of 80 Vande Bharat sleeper train sets.
35-Year Maintenance Agreement
As per the project, the consortium would be responsible for the production of 80 Vande Bharat train sets and maintenance of the same for the period of 35 years. The project is also aimed at upgrading the manufacturing facilities of the government and the train set depots.
50:50 Joint Venture
There is a Joint Venture agreement that has been put into place by TRSL and BHEL on September 15, 2026, which will create a Joint Venture Company that will take responsibility for doing the maintenance. There will be an equal 50% share in the joint venture between the companies, which will maintain the 80 Vande Bharat trainsets.
Focus on Long-Term Rail Support
The maintenance agreement will build upon the relationship that TRSL and BHEL have been working to develop, while assisting Indian Railways’ emphasis on maintenance of advanced passenger trains on a lifecycle basis. The project is one of indigenous manufacture of trains, along with long-term maintenance capabilities for the Vande Bharat sleepers.

Financials & Others
Revenue from Operations increased by 12.7 percent YoY, from Rs. 679 crore in Q1 FY26 to Rs. 765 crore in Q1 FY27. However, it declined by 12.6 percent QoQ, from Rs. 875 crore in Q4 FY26 to Rs. 765 crore in Q1 FY27.
Net Profit increased by 71.0 percent YoY, from Rs. 31 crore in Q1 FY26 to Rs. 53 crore in Q1 FY27. However, it declined by 1.9 percent QoQ, from Rs. 54 crore in Q4 FY26 to Rs. 53 crore in Q1 FY27.
The company reported a ROCE of 10.6% and ROE of 6.47%, indicating its return generation on capital and shareholders’ equity. Its debt-to-equity ratio stood at 0.25, reflecting relatively low leverage.

Titagarh Rail Systems has a strong standalone order book of approximately Rs. 13,335 crore, including its wholly owned subsidiary. Passenger Rail Systems contribute around Rs. 10,395 crore or 80.8%, while Freight Rail Systems account for approximately Rs. 2,470 crore or 19.2%. Shipbuilding and Maritime Systems add another Rs. 470 crore.
Including its proportionate share in joint ventures, Titagarh Rail Systems’ total order book stands at approximately Rs. 26,635 crore. This includes around Rs. 6,300 crore from the forged wheel manufacturing JV with RKFL and approximately Rs. 7,000 crore from the Vande Bharat AMC JV with BHEL.
